Amy has extensive experience in advising financial institutions, private clients and listed companies and conglomerates on their corporate transactions, including mergers and acquisitions, joint ventures, corporate reorganizations, and investment agreements. She also frequently advises listed companies on compliance with the Hong Kong Listing Rules and securities laws. She is therefore well-positioned to satisfy both transactional and compliance needs of listed companies.

In addition, Amy has throughout a large portion of her career, advised issuers, sponsors and underwriters on the listing of companies on the Hong Kong Stock Exchange. She advised companies operating in a wide range of sectors, including life science, food and beverage manufacturers and retailers, real estate developers, financial institutions, industrial manufacturers and more. Advised two individual vendors, on the sale of the controlling stake in SWCS Corporate Services, a leading professional corporate services provider to listed companies in Hong Kong and in China, to China Resources Corporate Services, a member of the China Resources Group; and on the formation of a joint venture between the vendors and China Resources to operate and grow the target group.

Advised NWS Holdings Limited, a Hong Kong-listed industrial conglomerate, on its strategic acquisition of a portfolio of six premium logistics properties in Chengdu and Wuhan, PRC, from Goodman China Logistics Partnership, and industrial and warehousing property fund managed by Goodman Group, for RMB2.29 billion (~US$340 million); and on the formation of a joint venture operating company between NWS and Goodman to manage and operate the acquired portfolio and future assets.  The transaction was shortlisted as "Cross-border M&A Deal of the Year" by Law.com International's Asia Legal Awards 2023 and "M&A Deal of the Year" by Asian Legal Business Hong Kong Law Awards 2023.

Advised SinoRock Star II Limited, whose largest shareholder is China Cinda Asset Management Company Limited, as a co-investor of Tencent Holdings Limited in connection with the US$8.5 billion underlying acquisition of about 84.3% interest in Supercell Oy.

Advised JenCap MT on its US$100 million acquisition of preferred shares in Internet Plus Holdings Ltd. (formerly known as China Internet Plus Holdings Ltd.), the holding company of major players operating e-commerce business in China. 

Advised New World China Land Limited on its disposal of certain companies to Chow Tai Fook Enterprises Limited, which were principally engaged in provision of worldwide hotel management services under 3 hotel brands, namely Rosewood, New World and Penta, at a consideration of HK$1.963 billion.

Advised the Nuance Group AG on its acquisition of the 50% stake in Nuance-Watson joint ventures from AS Watson Group.  The Nuance-Watson joint ventures were operating travel retail and duty free stores in Hong Kong, Macau, Mainland China (Zhuhai), Singapore and Malaysia, offering travel retail services primarily in airports and also duty-free stores in down town shopping malls.

Advised Spansion Inc. in connection with the US$110 million acquisition of certain subsidiaries and assets relating to analog semiconductor and microcontroller products from Fujitsu Semiconductor Limited.

Advised Shenzen Investment Limited (Stock code: 00604), in its acquisition of 91% interest in Jingdong Expressway.

Advised Samson Paper Holdings Limited (Stock code: 00731), in acquiring all the issued shares in Hypex Holdings Limited.

Advised RoadShow Holdings Limited (Stock code: 00888), in its sale of its interest in certain advertising rights and Guangdong Caizhu Advertising Company Limited.

Advised Public Financial Holdings Limited on its acquisition of the entire issued share capital of Asia Commercial Bank Limited.

Advised Hutchison Harbour Ring Limited (Stock code: 00715) on its acquisition of "The Center" in Shanghai, the PRC, from Cheung Kong Group and Hutchison Whampoa Group and related issuance of convertible notes.

Advised Chiho-Tiande Group Limited (stock code: 976), a company listed on the Main Board of The Stock Exchange of Hong Kong Limited which is primarily engaged in the business of mixed metals recycling, in the unconditional mandatory general cash offers made by USUM Investment Group Hong Kong Limited to acquire all shares, outstanding convertible bonds and shares options in Chiho-Tiande Group Limited.

Advised the offeror, Winland Wealth (BVI) Limited, on the takeover of the controlling stake in Mexan Limited (Stock code: 00022) and mandatory general offer made by the offeror of all issued shares in Mexan Limited.

Advised BOCOM International (Asia) Limited, as sole sponsor, in the proposed listing of Chief Financial Group Limited, a financial services provider in Hong Kong founded in 1979, on the Main Board of HKEX.

Advised AOBiome Therapeutics, Inc., on its proposed Chapter 18A listing on HKEX which is sponsored by Citi and Haitong International.  AOBiome is a world-leading clinical-stage microbiome company focusing on research and development of therapeutics for inflammatory conditions, central nervous system disorders and other systematic diseases.

Advised Nomura International (Hong Kong) Limited, as sole sponsor and sole global coordinator in connection with the listing of Nissin Foods Company Limtied, a renowned food company in Hong Kong and the PRC with a diversified portfolio of well-known and highly popular brands, on the Main Board of HKEX raising approximately HK$950.8 million.

Advised Precision Tsugami (China) Corporation Limited, an established foreign-owned CNC high precision machine tool manufacturer in the PRC, on its approximately HK$580 million initial public offering and listing on the Main Board of HKEX.  This is the first spin-off listing on HKEX by a Japanese parent company listed on the Tokyo Stock Exchange. 
- Advised China Merchants Securities (HK) Co., Limited and CCB International Capital Limited as the joint sponsors and underwriters in connection with the listing of Denox Environmental & Technology Holdings Limited on the Main Board of HKEX raising approximately HK$263 million.

Advised Fuyao Glass Industry Group Co., Ltd., China's largest and the world's second largest automotive glass manufacturer, on its approximately US$1,090 million initial public offering and listing on the Main Board of HKEX.

Advised HSBC and J.P. Morgan as the joint global coordinators and underwriters in connection with the US$159 million initial public offering and listing of PanAsialum Holdings Company Limited on the Main Board of HKEX.

Advised Citigroup as the sole global coordinator, bookrunner and sponsor in connection with the US$192 million initial public offering and listing of China Kingstone Mining Holdings Limited on the Main Board of HKEX.

Advised Bluestar Adisseo Nutrition Group Limited, one of the global leaders in animal nutritional feed additives, on its proposed initial public offering and proposed listing on the Main Board of HKEX.  The Bluestar Adisseo Group is owned by Bluestar, which is 80% controlled by ChemChina, the largest chemical producer in the PRC, Bluestar Adisseo is headquartered in France and has operations in the US and other parts of Europe.

Advised Citigroup as sole global coordinator and sponsor in the US$229 million initial public offering and listing of Leoch International Technology Limited on the Main Board of HKEX.

Advised Citigroup and J.P. Morgan, as joint global coordinators and sponsors in the US$747 million initial public offering and listing of Mongolian Mining Corporation on the Main Board of HKEX.  This is the first Hong Kong listing of a Mongolian-controlled company and is also the first mining company listed under the new Chapter 18 Listing Rules implemented in June 2010.

Advised Merrill Lynch, China Construction bank and Macquarie, as global coordinators and sponsors in the US$100 million initial public offering and listing of China ITS (Holdings) Co., Ltd, a provider of technology solutions for transportation on the Main Board of HKEX.

Advised Morgan Stanley as sole global coordinator, bookrunner and sponsor in the approximately US$72 million initial public offering and listing of Greens Holdings Ltd, a leading supplier of key heat transfer products designed to enhance energy efficiency on the Main Board of HKEX.

Advised Wynn Macau, Limited, the Macau business of resort and casino operator, Wynn Resorts Limited, (as US and Hong Kong counsel) on its US$1.87 billion initial public offering and listing on the Main Board of HKEX.  This was the first US-controlled company to list on the Main Board of HKEX.
