Phoebe has experience in acting for major banks and financial institutions on a wide range of corporate lending transactions, including secured and unsecured syndicated and bilateral loans and cross-border acquisition finance. She also assists clients in a number of loans restructuring matters.

Phoebe has considerable experience in advising financial institutions on the drafting of trade finance documentation including but not limited to trade finance application forms and security documents, and advising clients on non-contentious trade finance disputes relating to letters of credit.

Acquisition financing

Acted for a PRC bank as the lead counsel in structuring and documenting a HKD1200 million loan facility to finance the acquisition of A shares and H shares of a PRC company, secured by first priority share pledges and charges.

Acted for a PRC bank as the lead counsel in structuring and documenting a cross-border RMB700 million loan facility to finance the acquisition of a Hong Kong company, backed by a guarantee, first priority account pledges and charges and negative pledge undertakings.

Acted for a leading PRC bank as the lead counsel in structuring and documenting a USD200 million bridge loan for the acquisition of a Cypriot company, backed by a side letter entered into by its PRC parent company.

Syndicated loan

Acted for a PRC company in a USD100 million syndicated loan facility to a Hong Kong listed company arranged by it and participated by two PRC banks.

Cross-border bilateral loan

Acted for a leading Taiwanese bank in a HKD1000 million unsecured loan facility to a Hong Kong company for general working capital and corporate funding requirements.

Acted for a PRC bank in a HKD200 million loan facility to a Bermuda company backed by an account charge.

Acted for a leading PRC bank in a dual-currencies revolving facility of USD100 million or its equivalent in HKD.

Acted for a PRC bank in a USD70 million loan facility to a Bermuda subsidiary of a PRC state-owned enterprise, backed by a letter of comfort.

Loans restructuring

Acted for a leading PRC bank in restructuring and documenting a transferrable term loan facility of HKD2,000 million and a revolving credit facility of HKD1,000 million, backed by a guarantee.

Acted for a PRC bank in restructuring and documenting three USD term loans of over US200 million to a group of companies from 6 different jurisdictions.
