Ivan has advised extensively on a range of corporate and capital market transactions including merger and acquisitions, takeovers, private equity and pre-IPO fund raisings as well as initial public offerings. He has close to twenty years of initial public offering and listing experience in three different jurisdictions, namely Hong Kong, UK and Singapore. He has advised on IPOs of numerous Asian and Chinese corporations on the Hong Kong Stock Exchange, the Singapore Exchange, the London Stock Exchange’s AIM as well as Main Market and UK’s ISDX market (formerly known as PLUS). Recently, he was instrumental in assisting a Singapore-based fund in opening the Hong Kong for its multiple tranche convertible notes investment structure.

Ivan received a Bachelor of Law Honours Degree (Second Class Upper Division) from the University of London in 1995 and a postgraduate Diploma in Singapore Law (Merits) from the National University of Singapore in 1997. He has been with Stephenson Harwood since December 2006. Prior to that he was practicing in Singapore with some of the most reputable capital market firms.

Ivan is currently admitted to practice in Singapore, England & Wales and Hong Kong. He is fluent in English, Mandarin, Cantonese and Fujianese.

Ivan was identified as a Leading Individual by Chambers Asia 2013 in Capital Markets: Equity.

Advised China Silver on its Hong Kong IPO in 2012. In connection with the transaction, Ivan formulated and implemented a trust-based pre-IPO restructuring for China Silver. The company was ranked the tenth largest silver producer in China in terms of annual production volume in 2011.

Participated in Yangzijiang Shipbuilding’s Singapore IPO in 2007 as its adviser on Singapore laws. Yangzijiang is a builder of commercial vessels, including bulk carriers, multi-purpose cargo vessels, containerships and chemical tankers and it is currently one of the largest issuer on the Singapore Exchange by market capitalisation.

Acted as Jiasen‘s legal adviser on Hong Kong and English laws in connection with its admission to AIM in 2014. Upon its admission, Jiasen was ranked one of the top ten Chinese companies admitted on AIM by market capitalisation.

Advised Advance Capital Partners on its HK$60 million multiple tranche convertible note investment into Asia Energy logistics (a company listed in Hong Kong) in 2015. This was breakthrough transaction for the fund that has utilised this investment structure in many other exchanges other than Hong Kong.

Involved in the competitive takeover of Overseas Union Bank Limited by United Overseas Bank Limited in 2001 during the banking industry consolidation period in Singapore. The other offeror for Overseas Union Bank Limited was DBS.

Yangzijiang Shipbuilding (Holdings) Ltd.’s initial public offering and listing on the Mainboard of the Singapore Exchange in 2007. Yangzijiang is a builder of commercial vessels, including mini bulk carriers, bulk carriers, multi-purpose cargo vessels, containerships and chemical tankers.

Plastoform Holdings Limited’s initial public offering and listing on the Mainboard of the Singapore Exchange in October 2006. Hoe Leong Corporation Limited’s initial public offering and listing on the Mainboard of the Singapore Exchange in December 2005. Hoe Leong is in the business of distributing, designing and manufacturing spare parts for heavy equipment and industrial machinery and has its manufacturing base in China.

The competitive take-over of Overseas Union Bank Limited by United Overseas Bank Limited in 2001 during the banking industry consolidation period in Singapore. The other offeror for Overseas Union Bank Limited was DBS.

Advised Starcrest Education The Belt & Road Limited in relation to the IPO of this cash shell on the standard list on the Main Market of London Stock Exchange in 2019.

Advised AIQ Limited in relation to the IPO of this cash shell on the standard list on the Main Market of London Stock Exchange in 2018.

MiLOC Group Limited’s admission to PLUS in December 2010. MiLOC is a group involved in the research, development, marketing and distribution of traditional Chinese medicine and the development and operation of a network of traditional Chinese medicine clinics and hospital across mainland China, Hong Kong and Macau on its.

Design Capital Limited’s Main Board IPO on the Hong Kong Exchange in 2019. The Company is a longstanding furniture seller on third party e-commerce platforms in the U.S., a mid to high-end furniture retailer in Singapore and an integrated home design solutions provider mainly in Singapore.

HPC Holdings Limited’s IPO on the Main Board of Hong Kong Exchange in 2018. HPC is a Singapore-based construction company involved in both the public and private sector projects, in including logistics and warehouse construction.
