Diwakar is a corporate and commercial partner in our Dubai office. He has extensive experience in handling complex M&A, private equity and venture capital transactions and general corporate matters across the Middle East, North Africa and India.

He has a broad range of sector expertise across a wide variety of industry sectors and in particular healthcare, mining, manufacturing, construction services and technology. In addition, Diwakar has advised clients on real estate and infrastructure projects including advising on integrated tourism complex projects and power and water projects in Oman.

Diwakar is dually qualified in India and in England and Wales and he is an alumni of the National Law School of India University and also a British Chevening scholar.

Acting for JadoPado Limited in its receipt of first round investment from BECO Capital and its subsequent sale.

Worldwide private equity house

Acting for a worldwide private equity house in two second round financings with multiple investors in technology companies based in India and Mauritius. Assumed the role of lead transaction counsel and involved in detailed negotiations of the documents.

Represented antfactory in its second round investment in Customerasset which was a leading BPO company.

ChrysCapital

Represented ChrysCapital in its landmark investment in Spectramind Limited, a leading BPO company which was later sold to Wipro.

India Value Fund

Advised India Value Fund in its acquisition of a stake in Media Broadcasting Private Limited.

Promoters of NDT Corrosion Control Services

Advising the promoters of NDT Corrosion Control Services in the sale of majority stake in the company to Investcorp, Bahrain.

Bureau Veritas

Led the transaction team advising Bureau Veritas on its acquisition of Mumbai-based Sievert Group which has a strong presence in the Middle East and South East Asia. Led the transaction negotiations along with India counsel in this cross-border, multi-jurisdictional deal spanning India, the UAE, Qatar, Oman, Saudi Arabia and Singapore.

Al Hokair Group

Advising the Al Hokair Group in respect of its investments by Jadwa Investments (approximately SAR 500 million). This involved detailed negotiations of the transaction documents and an internal due diligence on the Al Hokair Group.

MS Pharma

Advising MS Pharma in respect of the US$50 million investment made by the European Bank of Reconstruction and Development and a further investment of US$45 million by the International Finance Corporation.

Zubair Corporation

Advising Zubair Corporation in its acquisition of the Federal Group of power transformer companies in Abu Dhabi. This involved a detailed due diligence and lengthy negotiations.

Promoters of NDT Corrosion Control Services

Advising the promoters of NDT Corrosion Control Services in the sale of majority stake in the company to Investcorp, Bahrain.

Orbimed

Advising OrbiMed, a global healthcare investment fund in its investment in the KIMS Group. This transaction involved an extensive due diligence on the target group which had a presence across five GCC countries. This also involved advising the structure of the transaction and importantly in implementing various recommendations and putting into place appropriate shareholder documentation in multiple jurisdictions in the GCC. Further, re-engaged by KIMS Group for a vendor due diligence in respect of the sale by OrbiMed of its shares to and further investment by True North a leading India based private equity firm.

Large UAE based investor

Acted for a large UAE based investor (a joint venture between a sovereign wealth fund and a leading US corporate) in its acquisition of a minority stake in a listed power company in Oman. This was the first equity transaction of this investor. Led the transaction, from the due diligence, to the documentation and closing.

Leading Japanese advertising agency

Acting for a leading Japanese advertising agency in its acquisition of a 50% stake in an Indian advertising group based in India and Dubai. Supervised the legal due diligence review of the target company and its subsidiaries and preparation of the due diligence report. Drafting of transaction documents, including structuring the deferred payment of the acquisition price based on the performance of the target group and a detailed shareholders agreement.

UltraTech Cement Limited

Advising UltraTech Cement Limited in the acquisition of a majority stake of a mining company in Oman. The transaction involved a due diligence exercise as well as drafting the negotiating the transaction documents and advising on various aspects relating to Oman Law.

Leading Australian mining company

Undertook a major diligence exercise on behalf of a leading Australian mining company on mining laws and land acquisition laws in respect of a coal-mining project for a power plant and prepared detailed reports on the same.

Aster Medical Group

Advising the Aster Medical Group in a detailed internal due diligence exercise ahead of its private equity fundraising round in 2014. This involved the detailed due diligence over the Aster Group of Companies across the GCC including several dozen entities in the UAE.

Acted as local counsel for the first independent water desalination plant in Oman.

Salalah Free Zone

Advising the first Free Zone in Oman on their land related documents and Rules and Regulations.

Advising Babcock in its acquisition of national training Institute LLC.

He is familiar with the Indian legal system and also the foreign investment regime in India. He has also advised several Indian clients in respect of Middle East matters.
