Stephenson Harwood LLP has acted for Henderson Global Trust plc (HGT), an investment trust managed by Henderson, on its scheme of reconstruction and winding-up. Shareholders in HGT were offered the option to roll their investment into either or both of The Bankers Investment Trust PLC (Bankers) and Henderson International Income Trust plc (HINT), both investment trusts managed by Henderson. Stephenson Harwood also acted for both of the rollover vehicles.
Following approval from shareholders of all three investment trusts, Bankers and HINT acquired £60 million and £95 million of assets, respectively, from HGT.
The Stephenson Harwood team, which advised on all the legal and tax aspects of the transaction, was led by corporate partner William Saunders. He was supported by senior associates Kate Longman and Judith Elgood (both corporate) and John Meehan (tax), along with corporate associates, Alexa Whitehead, Alan Sauvain and Gabrielle Pugh.
