Law firm Stephenson Harwood LLP is advising 3 Step IT Group Oy on its proposed European strategic alliance with BNP Paribas Leasing Solutions, a subsidiary of BNP Paribas.
The alliance will be operated through a joint venture company in France, to be called “BNP Paribas 3 Step IT”, which will be 51% owned by BNP Paribas Leasing Solutions and 49% owned by 3 Step IT, and also through a Finnish company called 2Holding N&B Oy, which will be 86.8% owned by 3 Step IT and 13.2% owned by BNP Paribas Leasing Solutions.
Completion of the transaction is subject to obtaining approvals from the relevant competition authorities.
The Stephenson Harwood team is being led by London-based corporate finance partner Ben Mercer and senior associate Jonathan Bridcut, supported by associate Michelle Gomes. Competition partner Marta Garcia and senior associate Michael Papadakis are advising on the competition law aspects, and Paris-based partner Patrick Mousset and senior associate Julien Meillereux are advising on the French law aspects.
