incadea Plc £122 million recommended takeover
Advised incadea, an AIM quoted software provider, on its £122 million recommended takeover offer by NASDAQ listed Dealertrack Technologies, Inc. We advised the Company on the offer including its obligations under the City Code on Takeovers and Mergers, the AIM rules and English company law.

Cross border pharmaceutical sale
Advised Piramal Enterprises, a Mumbai-listed pharmaceutical company, on the sale of its Domestic Formulations division, to US pharmaceuticals giant Abbott for a cash consideration of US$3.72 billion.

Acquisition of a UK-based flooring manufacturer
Advised on the £100 million acquisition by Mannington Mills, a New Jersey-based flooring manufacturer, of Amtico International, a UK-based manufacturer of high-quality luxury vinyl flooring products.

Acquisition of a UK-based professional services business
Advised Duff & Phelps Limited, a subsidiary of Duff & Phelps Corporation, a leading independent financial advisory and investment banking services firm, on the acquisition of the business and assets of MCR, a UK-based corporate restructuring and turnaround firm. This has led to continuing working relationship between the client and the firm.

Pan-Asian business services acquisition
Advised Corporation Service Company ("CSC"), a Delaware-based global leader in providing digital brand services to brand owners, on its acquisition of the IP Mirror group. The IP Mirror group is a leading provider of corporate domain name registration and online brand protection services across Asia.

Acquisition of a leading provider of both practice management and pharmacy software across Ireland and the UK
We advised TPG Specialty Lending in providing local law advice in connection with financing being made available to Eli Global to acquire Helix Health and Socrates Healthcare.

Employment, pensions and incentives

Mercer's asset purchase of Jeitosa Group International
Partnering with US Counsel on the European and African aspects of this transaction.

Post-employment restrictions
Global Financial Services client in connection with a restrictive covenant and breach of confidence dispute in the partnership context. Successfully negotiating a full release of the new hire's post-employment restrictions.

Global insurance client on defamation claim
Advising on managing an ex-employee who was posting defamatory videos on YouTube and Twitter and successfully blocking the posts and having the videos removed from YouTube.

Advising various clients on closing their final salary pension schemes
Advising various clients on the employment aspects when closing their final salary pension schemes and drafting the employment and scheme documentation associated with this.

Drafting remuneration policies
Advising Level 1 PRA regulated bank on the drafting of a complex remuneration provision for a senior hire (shares, deferred performance awards, a cash bonus buy-out and first year guarantee).

Finance and capital markets

£200 million IPO of VPC Speciality Lending Investments plc
Advised US private equity firm Victory Park Capital Advisors, LLC on the successful launch of a closed-ended investment company listed on the Main Market of the London Stock Exchange, which invests in opportunities within the specialty lending market primarily through online lending platforms.

European vendor finance and US$400 million securitisation
Advised Alliance Laundry Systems LLC, a US commercial laundry equipment manufacturer, on the establishment of a European vendor finance programme as well as the English and French aspects of its securitisation.

DFC Global Corp.
We advised DFC Global (a Nasdaq listed leading international non-bank provider of alternative financial services) on the English law aspects of a new senior secured credit facility with a syndicate of lenders, with Deutsche Bank AG, New York Branch, as Agent. The Revolving Facility provides for a five-year US$180 million global revolving credit facility, with potential to further increase the credit facility to up to US$230 million.

Wells Fargo Capital Finance
We advised Wells Fargo as lender and co-lead arranger (alongside Silicon Valley Bank) on a £45 million senior secured credit facilities agreement to finance the take private acquisition of Kewill plc by Francisco Partners.


Acting as sole UK counsel for GAP
Providing all UK litigation advice to one of the US’ leading fashion retailers, and coordinating advice for extensive cross-border litigation throughout Europe.

Major litigation relating to copyright infringement and EU data protection compliance
Assisted a major law firm in California with the European aspects of US litigation relating to trade secrets misappropriation and copyright infringement including ensuring compliance with the EU data protection laws as part of the discovery process.

US$12 billion freezing order Against PDVSA successfully lifted
Succeeded in lifting a US$12 billion international freezing order obtained by a company in the Exxon Mobil Group against our client, PDVSA, Venezuela's state oil company.

Data privacy

Assisting a number of US-headquartered global clients on international data privacy issues such as data transfers from the EU, safe harbour requirements and resolving conflicts of law issues relating to US litigation and EU privacy requirements.
