Checklist: what are the key changes the China's new Company Law bring for a limited liability company to the shareholders, directors, supervisors, and senior officers?

On 29 December 2023, the Standing Committee of the National People's Congress of the People's Republic of China promulgated the amended Company Law of the People's Republic of China (the "2023 Company Law"). The law was passed on the 30th anniversary of the first Company Law adopted in 1993 and will come into force on 1 July 2024. The now effective Company Law is the 2018 Company Law.

The 2023 Company Law comprises 266 articles and introduces over 100 significant amendments compared to the 2018 Company Law. This checklist sets out those changes in relation to the powers, rights, duties, and obligations of the shareholders, actual controllers, directors, supervisors, and senior officers of a limited liability company. This checklist serves as a toolkit for entrepreneurs and senior officers to understand the key changes the 2023 Company Law would bring to them and to facilitate a self-assessment to mitigate the risk exposures.
