With a flurry of deals executed in record time last year, inevitably, some dealmakers may find that the risk of short-term corporate decisions may have longer-term financial and reputational consequences. Dealmakers must remain alert to the risk of inheriting historical liabilities, implement robust due diligence procedures and mitigate against such risks.

Stephenson Harwood's specialists take a specific look at certain M&A risks areas, including:

(i) how to avoid common IP pitfalls;
(ii) how to prepare six months before a deal from a tax perspective, looking at common issues from a seller and buyer's perspective, to guard against tax risk;
(iii) an overview of heightened anti-corruption and bribery risks under the UK's Criminal Finances Act 2017 and Modern Slavery Act 2015; as well as
(iv) the rise in SPAC-related litigation with the growth of SPACS.
