Yong’s practice focuses on formation, management and investment of private investment funds, including private equity funds, venture capital funds, distressed opportunities funds, real estate funds, mezzanine funds, funds of funds and hedge funds based in the U.S., Asia (particularly in China) and Europe. More particularly: advising private fund sponsors on fund formation (some at the multi-billion-dollar level), administration, compliance, portfolio investment, and Investment Company Act and Investment Advisers Act related issues; working with local counsel from offshore jurisdictions, including Bermuda, Canada, Cayman Islands, Guernsey and Luxembourg, on organizing alternative investment vehicles, feeder funds or special acquisition vehicles; negotiating with service providers, including broker/dealer, placement agents, administrators and custodians; and advising on general partner/investment manager compensation arrangements.
Yong also advises institutional investors in structuring and negotiating their investments into private funds, co-investments and secondary transactions (including both portfolio acquisitions and GP-led secondaries transactions), with a focus in Asia Pacific.
