Sarah is a partner in the private equity team specialising in the establishment and operation of closed-ended investment funds.

Sarah has over a decade of experience advising both general partners and investors on the establishment and day-to-day operation of private investment funds, managed accounts and co-investment platforms across multiple strategies. She has recently been featured in The Lawyer's Hot 100 2023.

Sarah is also an experienced advisor on fund restructurings, roll-overs, secondaries sales and GP-led liquidity restructurings. 

Sarah recently advised the entire investor base of an active UK headquartered fund on the removal of its general partner and manager.

Sarah spent a significant proportion of her career gaining first-hand experience in-house as fundraising counsel to Actis.

Prior to joining Stephenson Harwood, she worked at EY as legal lead of private funds.

DPE Deutsche Private Equity (DPE)

Advised DPE Deutsche Private Equity (DPE) on the establishment of a €708 million continuation vehicle, DPE Continuation Fund I (DPE CF I), Germany's largest GP-led secondary.

Verium AG

Advised Verium AG (Verium) on the establishment of its first continuation vehicle with aggregate commitments of CHF120 million to support the development of Toradex Group (Toradex) and Mobil in Time Group (MiT).

EMERAM Capital Partners

Advised EMERAM Capital Partners on the establishment of a continuation vehicle to support the development of ]init[, a highly performing asset from EMERAM's first fund that focuses on the provision of innovative digital services.

Schroders Capital

Advised Schroders Capital in relation to its co-lead investment into G Square's €500 million continuation vehicle, established to acquire three assets from G Square Capital I and G Square Capital II.

Ufenau Capital Partners AG

Advised Ufenau Capital Partners AG (Ufenau) on the establishment of a €563 million continuation vehicle, Ufenau Continuation III (UC III).

Capvis AG

Advised Capvis AG (Capvis), a Swiss mid-market private equity investor, on the establishment of a €230 million continuation vehicle.

UK headquartered mid-market private equity fund

Acted for the entire investor-base of a UK headquartered mid-market private equity fund on an investor-led action to remove the existing general partner and manager. 

This is likely to be the first action of this kind and involved the removal, on a negotiated settlement basis of the GP on a ‘no fault’ basis and the re-establishment of the existing fund.

Large asset manager 

Provided investment advice to a large asset manager on the placement of primary commitments across its investment programme including buy-out, venture, mezzanine and secondaries strategies.

Actis LLP

Acted as fundraising counsel for Actis LLP during the raising of its second vintage of African Real Estate Funds, third vintage of Energy/Infrastructure Funds and fifth vintage of Private Equity Funds. 

Actis is a leading investor in growth markets with a total of AUM $9.2 billion.

Large cap fundraisings

In previous roles acted as GP counsel on many large cap fundraisings across multiple asset classes. Sample clients were 3i, Pramerica, Deusche Bank, First State Media Group and Europa Capital.
