Naomi has a strong commercial practice, with particular expertise in relation to transactional IP matters. Her practice includes long-term research collaboration and management agreements, licensing arrangements, outsourcing and service agreements, distribution and manufacturing arrangements and data protection. She also frequently works with corporate finance colleagues on the IP/IT and data protection aspects of M&A transactions.

Naomi has significant experience working with clients in IP-rich sectors including life sciences, technology and hotels and leisure. She is also responsible for the firm’s growing digital health practice. In addition Naomi advises on the full range of commercial contracts including long term services agreements, software licensing arrangements and outsourcing agreements and data protection law. Naomi has spent time on secondment with clients of the firm including Accor Hotels and Astellas Pharma.

Naomi’s transactional IP experience includes  advising clients on licensing (including franchise and hotel management arrangements), partnering, collaboration and R&D agreements (particularly for Biotech and Pharmaceutical companies) as well as on the IP aspects of mergers, acquisitions and investments.

Her recent commercial experience includes advising a life sciences client in relation to the outsourcing of its recruitment services in Europe and Asia, the commercial manufacturing agreement for a pharmaceutical product and advising in relation to the branding and management of an Ultra Luxury hotel in London.

Finally, in her data protection practice, Naomi has advised in relation to a number GDPR compliance projects, has worked with various Art Galleries for the purposes of their electronic-marketing practices and has advised in relation to the interaction between GDPR compliance and compliance with the Clinical Trials Regulation.

Brand licensing arrangements for hotels

Naomi has advised on a number of franchise and hotel management agreements including in particular the brand licensing arrangements. Clients include Accor Hotels, Mandarin Oriental and various hotel owners.

Kymab Limited

Advised Kymab on a number of research collaboration agreements with long term patent and know how licences and options.

BTG

Advised in relation to the out-licensing of its IP portfolio relating to a product for treatment in the field of oncology with upfront payments, milestones and royalties.

Highview Power

Advised in relation to a territorial licence for the exploitation of its Liquid Air Energy Storage technology and related IP.

Lego

Advised in relation to a long term collaboration agreement for the use of the Lego brand.

BTG

Advising the life sciences company on its GDPR compliance program and, in particular, advising on the interaction between GDPR compliance and its Informed Consent Requirements under Clinical Trials.

UCB Pharma

Advised in relation to compliance with the UK Human Samples Act, requirements for consent and the interplay with GDPR requirements.

'Big Four' professional services firm

Providing data protection advice to a "Big Four" professional services firm in relation to various SAR compliance requirements and its contractual arrangements and standard terms.

Art galleries 

Naomi presented to a collection of art galleries in relation to their GDPR compliance requirements following which she advised a number of galleries in particular in relation to their ability to market effectively to customers.

Iiko

Advised this POS software platform in relation to their entry into the European market and compliance with GDPR, including contractual terms with the customers and suppliers along with the end-user’s consumer terms.

Schonfeld Strategic Advisors

Providing advice to this UK based hedge fund in relation to its data protection compliance program.

Life sciences company

Advising in relation to the outsourcing of its talent acquisition and recruitment services in Europe and Asia.

Steer Davies Gleave

Advised in relation to the outsourcing of its Cloud storage system and an App Development Agreement.

Advised in relation to its Smart Ticketing design, implementation and maintenance project.

Multinational pharmaceutical company

Naomi spent 18 months on a part- time secondment to a multinational pharmaceutical company. The scope of work included advising on distribution arrangements, IT licences and data protection, manufacturing and sales agreements.

Kymab

Advised Kymab on a number of research collaboration agreements with long term patent and know how licences and options, including in relation to Kymab’s “Kymouse” technology.

Gilead

Advised in relation to a number of commercial agreements including, in particular, an international Business Process Outsourcing Agreement across Europe and Asia, various software licensing arrangments and advice in relation to the appointment of a Representative for the purposes of compliance with the Clinical Trials Directive.

BTG

Advised in relation to the out-licensing of its IP portfolio relating to a product for treatment in the field of oncology with upfront payments, milestones and royalties.

UCB

Naomi has worked extensively with UCB on a range of agreements including Research Collaboration Agreements, Master Services Agreements, Platform Technology collaborations and in relation to its compliance with Human Samples legislation and GDPR.

International pharma company

Advised in relation to a collaboration with Verily Sciences, the Google Life Sciences company, in relation to the use of Verily’s wearable technology as part of clinical trial programme.

Shield Therapeutics

Advised in relation to the licensing of commercialisation rights in Europe, Australia and New Zealand of Shield’s product Feraccru for the treatment of iron deficiency with upfront fee, and ongoing milestone and royalty payments.

Otsuka

Naomi has worked with Otsuka in relation to the production of a suite of template agreements for use in its business including a Master Services Agreement, Sponsorship Agreement and HCP/HCO arrangements.
