He specialises in advising on complex secured financings and debt capital market transactions for clients operating across a wide range of industries including real estate, energy and transport and trade. He regularly advises on syndicated and bilateral loan facility agreements, portfolio acquisitions, re-financing of existing facilities and loan restructurings.

Murtaza has acted for local and international financial institutions and borrowers on a range of debt and securitisation structures involving senior and junior loan aspects. These include syndicated and bilateral cross-border transactions.

Prior to joining Stephenson Harwood, Murtaza worked at another leading law firm, advising financiers and borrowers on a broad range of finance, corporate, regulatory and commercial matters.

  • Project finance

Advised the lenders and assisted with the due diligence on the required local law consents and licenses required, as well as advising on the recommended security package for independent and combined power plants in the UAE.

Provided advice and assistance to sponsors in obtaining necessary approvals and licenses for independent water projects and waste-to-energy projects in the UAE.

Advised lenders on the refinancing of an existing desalination project in the UAE through project company share acquisition.

Assisted noteholders in the refinancing of an existing project in the Kingdom of Saudi Arabia through a DIFC note issuance on a private placement basis.

Assisted lenders in creating and perfecting security interests over the project company assets including direct agreements and consents assignments.

  • Banks and banking

Prepared and negotiated documentation for an off-balance sheet securitization of US$50 million receivables from eight jurisdictions via an orphan special purpose vehicle, led by an Indian private bank based in Dubai.

Acted as UAE counsel to note purchasers and lenders in relation to the US$1.65 billion refinance (through senior debt and 144/Reg-S offering) for a leading UAE educational services group.

Acted for a syndicate of banks in relation to the US$172 million financing for the development of a retail and entertainment development in Abu Dhabi.

Acted as lead counsel in respect of an off-balance sheet receivable securitization of US$970 million from several developing jurisdictions through a UAE domiciled orphan SPV.

Advised a syndicate of banks in relation to US$123 million refinancing of existing term loan facilities.

Structured, drafted and negotiated documentation for a syndicate of banks in relation to the US$76 million financing for the construction and development of new schools in the UAE by a leading educational services company in Dubai.

Acted for a borrower in respect of US$313 million financing from a syndicate of banks provided to UAE sovereign owned group.

Advised a syndicate of banks in relation to a US$204 million restructuring and partial refinancing for the expansion of a data center in Dubai.

Advised, negotiated, and drafted documentation for lenders in relation to the US$1.8 billion restructuring of a multinational conglomerate and construction company’s indebtedness.
