Malcolm specialises in private equity transactions acting for PE houses such as Elysian Capital and FPE Capital, as well as growth capital providers such as BGF, investee companies such as Civica (an investee company of Partners Group) and management teams such as the management team of Optimum Credit on the sale to KKR backed, Pepper Money.

He has acted on transactions such as Elysian Capital’s acquisitions of Key Travel and Aspirations Care, FPE Capital’s investments in Kallik, The NAV People and IWSR and the sale of Small World to Equistone.  He has acted for the Civica Group on 20 bolt-on acquisitions and has acted for management teams on large cap transactions such as the sale of Almatis by Dubai International Capital (DIC) and the sale of EMP by Actis.

Advised Civica, a private equity backed business, on its acquisition of ntropy data, Inc. Civica UK Limited, the company’s wholly owned subsidiary, acquired the specialist customer engagement software provider.

BGF

Advised UK investor BGF on its US$11 million investment in Genflow, a London and Los Angeles-based brand-building agency.

Civica

Advised Civica, a private equity backed business, on its acquisition of Calibrand Ltd, an online assessment software specialist.

FPE Capital

Advised FPE Capital, a software and services focused lower mid-market growth investor, on its investment in Codestone, a business applications and cloud services platform.

Akerbla

Advised Akerbla Group on its acquisition of a majority stake in Ocean Ecology, the UK marine and environmental survey specialist.

FPE Capital and management

Advised FPE Capital (FPE) and management on the sale of Masstech to Telestream. FPE, a software and services focused lower mid-market growth investor, and the management team have sold their stake to Telestream, which is backed by Genstar Capital, a San Francisco-based, technology private equity investor.

Advised UK investor BGF on its investment in Source BMX, an omni-channel BMX retailer.
