Hannah is a managing associate in our banking team. She acts for both lenders and borrowers on a range of secured corporate lending transactions with specific emphasis on real estate finance and general corporate lending.

Hannah has extensive transactional and general advisory experience acting on a broad range of secured corporate lending transactions, defaults, restructurings and reorganisations and corporate trust matters.

Hannah’s specific focus is on real estate finance. Hannah has acted for banks, financial institutions and borrowers on a number of high profile, high value investment financings of large property portfolios, development financings, refurbishments and refinancings of landmark properties in the UK.

TIAA Henderson Real Estate, €47.3 million commercial refinancing, Italy

Acted for Rende Shopping Centre S.p.A. (a borrowing vehicle for TIAA) on the refinancing of a shopping centre in Rende by Deutsche Bank. This was a complex cross-border financing involving close co-operation between lawyers in the UK, Italy and Luxembourg.

Henderson Retail Warehouse Fund

Advised the bank syndicate comprising Wells Fargo, Aareal Bank and Heleba on the £400 million refinancing of the Henderson Retails Warehouse Fund of 16 retail shopping centres.

Langham Estate

Advised the bank syndicate comprising HSBC, RBS, Wells Fargo, Helaba, Barclays, CACIB and SMTB on the £540 million refinancing of the Langham Estate.

Fairhold Securitisation Limited

Advised the note trustee on issues arising in relation to Fairhold Securitisation Limited’s £443,500,000 sheltered housing securitisation, taking over from the note trustee’s incumbent advisers in September 2017.

The Co-operative Group

Advised the bond trustee on issues arising in relation to a liability management exercise involving an exchange offer and a scheme of arrangement affecting nine subordinated bond issues by The Co-operative Bank plc aggregating in excess of £1.2 billion.

Bluebonnet Finance plc

Advised the trustee on rating downgrade and manifest error issues, consent solicitation processes and liquidity facility issues relating to €1.34 million secured floating rate notes issued by Bluebonnet Finance plc.

Advised on a £400 million secured facility to the Henderson Retail Warehouse Fund

Advised Wells Fargo Capital Finance as lender and co-lead arranger (alongside Silicon Valley Bank) on a £45 million senior secured credit facility agreement to finance the take private acquisition of Kewill plc by Francisco Partners.

Mannington Mills, Inc.

Advised on the acquisition of The Amtico Flooring Company Limited. The acquisition was financed by way of senior Asset Based Lending debt facilities arranged by Bank of America, N.A. and a mezzanine term facility arranged by TPG.

Archirodon Group N.V.

Acted for Archirodon Group N.V., a leading construction group which specialised in construction of ports and major civil engineering projects, on the refinancing of their $481 million syndicated unsecured revolving credit facility.

Next Energy Solar Fund

Advised Next Energy Solar Fund’s subsidiaries in relation to a two year £140 million revolving loan facility with Macquarie Bank Limited, London Branch (as lender). The purpose of the facility was to fund the costs of acquiring, constructing and commissioning solar PV projects in England and Wales.
