Carolyn is a corporate partner specialising in investment funds. She also has extensive experience of advising on general corporate matters.

Carolyn has a broad experience advising issuers and investment banks on the IPOs of listed closed-ended investment funds as well as secondary issues, reconstructions and other corporate actions. 

In parallel with her interest in listed closed-ended investment funds, Carolyn also regularly advises on the launch of private funds, with a particular focus on hedge funds.

Carolyn also acts for clients on a range of general corporate matters, including private M&A deals (with a particular focus on the acquisitions and disposals of fund manager businesses).

Carolyn has over 12 years of experience in acting for listed investment funds across a broad range of asset classes (both onshore and offshore funds), as well as advising fund managers, sponsors and placing agents.

New launches and secondary issues 

Acting for issuers, sponsors and placing agents on the launch and promotion of new investment funds (including premium-listed funds and funds traded on the specialist fund segment), as well as on secondary fundraises (including C share issues and placing programmes).

Corporate actions

Advising on section 110 schemes of reconstruction, return of capital (including tender offers, share buybacks and reduction of capital), related party circulars and ZDP restructurings.

Advisory support

Providing advice and support to funds, managers and other advisers, e.g. change of investment manager mandate, amendments to investment management agreement, advice in relation to general meetings, AGMs and continuation votes.

Regulatory advice

Advising on financial promotion issues, AIFMD, MAR and other regulatory issues relevant to funds and their managers.

Listed funds

Carolyn acts for issuers, sponsors and placing agents on the launch and promotion of new investment funds (including premium-listed funds and funds traded on the specialist fund segment), as well as on secondary fundraises (including C share issues and placing programmes). 

She has experience in funds with a broad range of asset classes including equities, real estate, alternative finance and renewable energy, both in the UK and offshore. 

She advises on a range of corporate actions, including section 110 schemes of reconstruction, return of capital (including tender offers, share buybacks and reduction of capital), related party circulars and ZDP restructurings.  

She provides advice and support to funds, managers and other advisers, e.g. change of investment manager mandate, amendments to investment management agreement, advice in relation to general meetings, AGMs and continuation votes.

Hedge funds 

Carolyn acts on the launch of new hedge funds, predominantly offshore. She has experience in a variety of structures (e.g. master/feeder, SPCs and LPs). 

She provides advice and support to hedge funds and their managers, e.g. in relation to investor redemptions, material changes, preparation of side letters and review and negotiation of new service providers’ agreements.

Private M&A

Acting on acquisitions and disposals of fund management businesses, including asset sales/purchases, sales/purchases of shares in bodies corporate (both 100% and minority stake) and sales/purchases of membership interests in LLPs.

In relation to acquisitions of minority stakes, advising on minority stakeholder’s protections and the creation of new class interests. Advising on regulatory issues in the acquisitions and disposals of regulated entities (e.g. change in control and other regulatory approvals and notifications). 

Corporate real estate

Acting on acquisitions and disposals of real estate assets structured by way of the sale/purchase of real estate asset-holding vehicles, often involving offshore vehicles (e.g. the acquisition of units in a JPUT). 

Advising on joint venture arrangements for the purpose of acquiring real estate assets (e.g. advising on the formation of JPUTs and private fund limited partnerships). 

Corporate actions and advisory

Advising on corporate restructurings, statutory squeeze-out procedures, section 110 schemes of reconstruction and return of capital (including tender offers, share buybacks and reduction of capital).

Advising in relation to activist shareholders’ actions. Advising in relation to both company and LLP structures, e.g. negotiation of LLP members’ agreement terms.
