She has worked on numerous secured and unsecured acquisition and large-scale restructuring financing transactions between banks and leading, listed and/or government-linked companies in Singapore, involving various jurisdictions (including ASEAN countries and the USA, England & Wales, Russia, Hong Kong, PRC, BVI, India, Samoa, Seychelles, Belize, Anguilla and the Cayman Islands). In doing so, she has represented either the borrower, the lender or both on a joint basis.

Hotel acquisition financing

Acted for certain local and BVI incorporated borrowers along with a major Singapore bank in a 2-stage high value facility matter which involved bridging facilities as well as a transferable syndicated loan exceeding S$600,000,000. The purpose of the transaction was for the ultimate beneficial owners of the BVI borrowers to acquire a prominent chain of hotels owned by the local borrowers across Singapore.

Restructuring of Pacific International Lines

Advised an investment firm linked to one of Singapore’s sovereign wealth funds, in relation to the restructuring of, and investment into Singapore boxship operator, Pacific International Lines (“PIL”). PIL is Singapore’s largest container shipping line and the 12th largest in the world. The transaction involved, among others, a scheme of arrangement involving various institutional lenders and PIL’s noteholders, consensual workouts, the provision of interim financing in the sum of US$112 million during the debt restructuring process, an investment of up to US$600 million into the PIL group (including the extension of a US$200 million term loan facility and a US$200 million revolving credit facility), and extensive due diligence and negotiations with numerous stakeholders, creditors of PIL and their advisors.

SGX tender exercise and bond offering

Acted for mainboard-listed property developer Tuan Sing Holdings Limited in relation to (i) its tender offer exercise for its S$141,750,000 in outstanding 6.9 per cent. existing notes due 2024 issued pursuant to the S$900 million multicurrency medium term note programme which was simultaneously updated and (ii) the issuance of S$150,000,000 notes due 2027 at 7.5% under the same programme.

Pfizer acquisition of Biohaven

Acted for Pfizer group in relation to their acquisition of Biohaven, as part of a global team of lawyers advising on the multi-jurisdictional internal restructuring of the client to facilitate the said acquisition.

Pfizer US$31 billion US bond offering

Acted on debt capital markets and related financing aspects to Pfizer Inc. and Pfizer Investment Enterprises Pte. Ltd. in the fourth-largest US bond sale ever at US$31 billion for the proposed acquisition of Seagen Inc.
