Acting for Bangkok Bank Company Limited on a syndicated loan facility to a major shipowner in the post-delivery financing of two dry bulk carriers.

DNB Bank ASA

Advising DNB Bank ASA on a US$398 million syndicated loan to Thai shipping company, involving security over 15 vessels, the syndicate comprising five banks.

Escape Hunt Group

Advising the Escape Hunt Group, a Thailand-headquartered provider of live ‘escape the room’ gaming experiences, on its reverse takeover of Dorcaster plc, a related equity placing and the re-admission of Dorcaster plc as Escape Hunt plc on AIM.

European airline

Advising a well-known European airline on outsourcing arrangements in Thailand for cabin staffing for flights to and from Thailand and Europe.

European bank

Advising a European bank on restructuring a loan facility made to a Singapore company which is a wholly owned subsidiary of a Thai listed entity (which also acts as guarantor). The original facility was advanced to finance the acquisition costs of three Singapore flagged bulk carriers and the restructuring involved, in addition to amending the repayment profile and LTV coverage, adding two further Singapore flagged bulk carriers as collateral security.

General Mills 

Advising General Mills on certain restructuring steps in relation to its Häagen-Dazs business in Southeast Asia.

Hong Kong listed company

Advising a company listed on the Hong Kong Stock Exchange in connection with a restructuring of various complex commercial agreements entered into by its Thai based manufacturing operations for supply and sale of products and intergroup charging arrangements for services.

LIM Advisors

Advising a Hong Kong-based hedge fund, on various matters including its minority co-investment with CVCI Private Equity and Thai Strategic Capital Management in Wuttisak Clinic Inter Group Company Limited, a leading skincare clinic chain operator in Thailand, Cambodia and Vietnam.

Malaysian oil company

Advising an oil company based in Malaysia on the preparation of bid documents for an offshore facility to be installed in the Gulf of Thailand.

Private equity investment

Advising on an investment by a US private equity fund into a Hong Kong holding company of a Thai operating entity. An equity stake was taken by the investor with a view to positioning the company for a likely IPO within four years. Working with a firm in Thailand, our team advised on a share sale, share subscription and a shareholders agreement for the restructured shareholding.

Thai AirAsia

Advising Thai AirAsia on the purchase by KTB Leasing of one new A320 aircraft and subsequent finance lease to Thai AirAsia.

TMB Bank Public Company Limited

Advising TMB Bank Public Company Limited on a post-delivery facility advanced in favour of a major shipowner.

Triple I Logistics Public Co Ltd 

Advising SET-listed Triple I Logistics Public Co Ltd in the acquisition of 50% stake in Singapore-based DG Packaging.

FazWaz

Advising FazWaz, a Southeast Asian proptech company, on the sale of Fazwaz Thailand Co., Ltd. to Lifull Connect's portfolio company, Dot Property.
