The team has specialist knowledge of cross-product derivatives and structured products. Our lawyers advise clients across all classes of over-the-counter derivatives, including equities, credit, currencies, interest rates and commodities.

We also advise clients on structured products, including CDOs, bond issuances, repackagings and restructurings, asset backed securities (ABS), structured investment vehicle (SIV) work-outs, structured and vanilla repos and stock loans.

Advising financial institutions and corporates on the review of their existing ISDA documentation, including legal and regulatory updates, and development of internal derivatives templates.

ISDA opinions and advices

Advising financial institutions and corporates on netting and collateral enforceability of ISDA documentation.

Master agreement negotiations

Acting for financial institutions and corporates on the negotiation of derivatives master agreements including ISDAs, GMRAs and GMSLAs.

OTC derivatives transactions

Acting for financial institutions and corporates in relation to OTC derivative transactions across various classes of assets including currency, credit, interest rate, equity and commodities.

Structured note programmes

Acting for financial institutions in relation to the establishment and update of structured note programme, as well as issuances thereunder.

Structured commodity finance

Acting for a Swiss commodity trading house in relation to a structured gold financing in Indonesia involving cash-settled commodity swaps and physical off-take agreement.

Establishment of equity lending platform

Advising an English private investment bank in relation to the establishment of its equity-based lending platform.

Hedging

Acting for financial institutions and  corporates on the development and implementation of hedging strategies, including in relation to interest rates, currencies and commodities.

Derivatives regulatory advice

Advising financial institutions and corporates in relation to their regulatory compliance obligations, including margin, licensing, trade reporting, dispute resolution procedures, portfolio reconciliation, disclosure and clearing.

Derivatives disputes
