Tony is a corporate partner, specialising in M&A, takeovers, IPOs and capital markets, private equity and joint ventures.
Much of Tony's work has an international element and in particular he is a member of the firm's India group and its Islamic finance group. Tony acts for clients across a number of sectors including TMT, energy, transportation, financial services, food and drink and business services.
Tony heads the private equity and venture capital group.
Deals range from early stage to secondary buy-outs and PIPE transactions. Tony acts for funders, management teams and companies.
Representative transactions include advising The Cloud Networks Limited, the leading independent Wi-Fi operator on a series of private fundraising from VC funds including 3i, Accel, Provider Ventures and Noble Venture Finance; advising Fortis on several investments in the shipping sector; and advising a buy-in team on the acquisition of Smiths Flour Mills.
Tony regularly advises on acquisitions and disposals involving both private and listed companies. Representative transactions include: several acquisitions of Wi-Fi network providers for The Cloud Networks Limited in the UK and internationally; the acquisition of the Rubicon Group from Penta for Indian outsourcing specialist, EMR Technology Ventures PVT Limited; the cash and paper bid by OPD Group Plc for AIM listed Imprint Plc; several acquisitions for mining group, Indo Minerals and Metals; advising a short-listed bidder on its bid for Laing Rail (which was ultimately acquired by Deutsche Bahn reportedly for in excess of £120 million).
Tony has advised on a large number of joint venture transactions, ranging from commercial collaborations, partnerships and incorporated joint ventures.
Transactions include advising on the formation of a joint venture to run a series of casinos, numerous joint ventures to acquire and operate a variety of commercial ships; joint operating agreements relating to participation interests in oil and gas fields and a joint venture between the Bank of Scotland and Warner Estate Holdings Plc to fund the acquisition and operation of a number of shopping malls.
Tony regularly advises companies on negotiations with their creditors and funders as well as advising directors on their personal duties.
Tony has advised on a number of distressed sales and has advised on the formation of several distressed asset funds.
Tony has acted on a large number of fund raisings on the equity and debt capital markets.
Deals include IPOs on the London Stock Exchange's main market and AIM, secondary equity fund raisings and bond issues across a broad range of sectors. Transactions include advising Goldenport Holdings Inc. on its IPO on the main market of the London Stock Exchange; a US$185 million bond issue by Britannia Bulk Plc; advising PetroLatina Energy Plc on a PIPE investment into it by Tribecapital Partners SA; advising KPMG as Nomad on the AIM float of emerging markets Prosperity Voskhod Fund Limited; and advising an Indian corporate on the flotation of its oil and gas division on AIM.
