Hilda is the head of corporate and head of employment (non-contentious). She specialises in a broad range of corporate, corporate finance, commercial and employment matters. She has extensive experience in advising local and international companies on a variety of corporate finance and commercial matters, including IPOs, fundraisings, acquisitions and disposals of shares and assets, joint ventures and various commercial contracts. She also advises listed company clients on regulatory and compliance matters.
Hilda is experienced in advising on a broad range of corporate and commercial issues relating to investing in China and bringing Chinese companies to the Hong Kong and London capital markets.
She also advises on all non-contentious aspects of employment relationship, including employment contracts, conditions of employment, employee share incentive schemes, termination and employment aspects of mergers, acquisitions and restructuring.
Hilda is ranked as a leading individual by Chambers Asia for Employment and by Lawyer Monthly 2011 for corporate law and shortlisted as the "Best Lawyer in Corporate Governance" at the Euromoney Legal Media Group Asia Women in Business Law Awards.
IPOs and capital markets
Hilda is experienced in advising on public and private securities issues, having acted for Hong Kong and Chinese companies on initial public offerings in Hong Kong and for Asian companies on admissions to AIM and PLUS in London. She has also acted for private companies on their pre-IPO fundraising and private equity investment.
Recent transactions on which she has advised include acting for Geong International Limited and PAQ International Holdings Limited on their London AIM admissions, acting for Global Market Group Limited on preferred securities issues to various private equity investors and advising a few listed companies in Hong Kong on their warrant and exchangeable/convertible bond issues.
Hilda's M&A experience includes advising public and private companies on domestic and cross-border transactions involving acquisitions and disposals of shares and assets and related regulatory and compliance issues. Her experience also extends to advising on acquisitions of Chinese companies and businesses.
Hilda has experience dealing with negotiation, drafting and advice on a broad range of commercial contracts, both domestic and international, including joint ventures, manufacturing, licensing, development and exploitation agreements, distribution, agency and franchise agreements and supply and manufacturing agreements. She has experience providing advice across a wide range of industry sectors including consumer products, sourcing, pharmaceuticals and healthcare products and retail.
Hilda has extensive experience in advising on a full range of employment matters, including all general employment issues, conditions of employment, remuneration strategies, equity incentives, redundancy, termination and employment matters associated with corporate transactions and reorganisations.
