The Shanghai office has a particular focus on commercial, outsourcing and technology, competition, corporate, finance and private wealth. The Shanghai office is one of the few law firms based in China with the ability to undertake corporate finance work involving Hong Kong, Singapore and the United Kingdom. It is also one of the few law firms based in China with an international private wealth and trust practice.

Along with our other Greater China offices in Beijing, Hong Kong and our alliance in Guangzhou, we provide a comprehensive range of legal service to clients operating within the Greater China region.

The Shanghai office services a diverse group of clients from individuals to small and medium enterprises and multi-nationals across many industry sectors. Many of these clients are foreign multi-nationals operating or investing in the Greater China region or have trade relationships with these entities here.

Corporate and M&A

Representing TRIO Digital Integrated in the sale to Aegis Media. The seller is one of the most successful full-service digital agencies in China, having been named Campaign Asia-Pacific’s Greater China Digital Agency of the Year and Independent Agency of the Year in 2012.
Advising a China television network operator on its investment into a fund focusing on broadcasting of sports program in Europe and Asia.

Advising a mid-market US company in the potential acquisition from a listed Singapore company of its China operations in the specialist chemicals sector. The deal is noteworthy as the seller, which is a listed company in Singapore, requires a binding letter of intent, and special contractual protections need to be crafted by lawyers to safeguard the buyer interests, and protect against contingent financial liabilities in the deal.

Representing Canadian automotive component supplier in joint venture with Chinese manufacturer, and advising on potential pre-IPO share swap.

Representing a listed Hong Kong conglomerate group in the divestiture of its stake in a China subsidiary to a PRC buyer, involving complicated deal structure and vendor financing. 

Advising a major global Indian company on the restructuring of its China joint venture, and subsequent divestiture of its joint venture stake to a state-owned enterprise in China. The deal is challenging as there are difficult regulatory issues arising from the joint venture partner being subject to strict Chinese regime applicable to state-owned enterprises.  

Advising leading Fortune 500 chemical company on major foreign direct investment into Southern China, and drafting of design and construction contracts for new chemical storage project. 

Representing U.S. private equity fund in divestiture of portfolio of computer accessories businesses in China and Asia, assisting in preparation of data room for due diligence, and coordinating closing in multiple Asian jurisdictions.  

Advised China Silver on its Hong Kong IPO in 2012. In connection with the transaction, Ivan formulated and implemented a trust-based pre-IPO restructuring for China Silver. The company was ranked the tenth largest silver producer in China in terms of annual production volume in 2011.


Advised chemical sector multinational corporation on the application of PRC competition laws and enforcement policies in relation to sales and distribution arrangements in China.

Provided preliminary antitrust advice to major state-owned Chinese company in consumer goods sector in connection with a proposed auction bid for a UK retail business, and formulating optimal competition law strategies.

Private wealth

Assisted a business-owning family to structure and set up two purpose trusts to ring-fence operating assets from liability for the benefit of selected employees and others.

Assisted various business-owning families to structure and arrange their assets including setting up various trusts and foundations for asset preservation, estate and succession planning.

Assisted the administrator of a large estate in respect of the sale and transfer of real property in the PRC.
