Law firm Stephenson Harwood LLP has advised longstanding client AIM Group Ltd (AIM Group) on its £182 million cross border sale to Liberty Hall Capital Partners (Liberty Hall).
A part of UK based AIM Group, AIM Aerospace was founded in Renton, Washington State, in 1988 and is a leading, independent supplier of composite ducting, substructural and interiors parts for the commercial aerospace industry. The company boasts an impressive customer base including The Boeing Company, Kawasaki Heavy Industries, Spirit AeroSystems and B/E Aerospace.
Liberty Hall is a US private equity firm focused exclusively on investments in businesses serving the global aerospace and defence industry. This acquisition represents the second of its kind and will serve as a foundation to its newly launched strategy to build a fully-integrated, diversified composites supplier through organic investments and strategic acquisitions.
The Stephenson Harwood team was led by Partner Tony Edwards, who had previously advised AIM Group on the sale of its UK division to Lloyds Development Capital in 2010. Today's transaction represents the final sale of the remaining group. Tony was assisted by Senior Associate Tom Page, Associate Kate Hewitson and Trainee Charlotte Lewis in the corporate team, Partner Marta Garcia in the competition team, Partner Maryanna Sharrock in the tax team and Associate Emily Aryeetey in the employment team. Pamela Grinter at Riddell Williams advised the group on US law.
Liberty Hall was advised on US law matters by a team led by John Pollack at Schulte Roth & Zabel; and on English law matters by a team led by Nick Rainsford at Ashurst.
