International law firm Stephenson Harwood LLP has advised on the sale of UK Specialist Hospitals, a leading independent sector healthcare provider, to Care UK, one of the chief providers of health and social care services in the UK.
UK Specialist Hospitals provides a range of elective surgical and diagnostic services for NHS patients in the south west of England, as well as a small number of procedures for private patients. UK Specialist Hospitals has carried out over 95,000 treatments, including hip, knee and cataract operations, for NHS patients at its five Independent Sector Treatment Centres in the south west.
The transaction was agreed in December 2012 and completed, following the satisfaction of various conditions, including the consent of the Secretary of State for Health, on 20 February 2013. Stephenson Harwood provided practical and commercial advice to the principal shareholders of UK Specialist Hospitals on the key deal issues, including the company's complex contractual arrangements with the NHS. The team at Stephenson Harwood has also previously advised UK Specialist Hospitals on a number of other matters, including some of its key contracts with the NHS.
Duncan Stiles, corporate partner and Head of Corporate Finance at Stephenson Harwood, led the team and commented: "We're delighted that the sale of UK Specialist Hospitals to Care UK has successfully completed. Stephenson Harwood has a wealth of experience in the healthcare sector, which this deal certainly adds to. In particular, the knowledge of UKSH's complex contractual arrangements brought by Rebecca Carter and her team proved to be extremely valuable during the course of the transaction; complemented by the persistence required from the M&A team to get the deal done in what remains a challenging M&A environment."
Duncan Stiles, corporate partner at Stephenson Harwood, and Rob Gray, corporate associate, advised the principal shareholders of UK Specialist Hospitals on the sale.
