Stephanie is a partner in our Hong Kong office who specialises in banking and finance transactions.

Stephanie is qualified to practice in both Hong Kong and England and Wales. She has over 20 years of experience advising various local, PRC and international banks and other financial institutions on a broad range of banking and finance works – syndicated loans, acquisition finance and real estate finance.  Her in-house experiences with two leading European banks give her insight into what her banking clients need. As an example, Stephanie has acted as the external counsel for the Reverse Mortgage Program of The Hong Kong Mortgage Corporation Limited, working together with their legal and operation departments to make the launching of this new product in Hong Kong successful.

Stephanie also focuses on ship finance. She has worked with various banks on pre and post-delivery financing as well as MOA financing.

Pre-IPO financing

Acted for the Hong Kong investment arm of the largest PRC bank in a US$125 million pre-IPO financing for a PRC chemical group with warrant structure, involving loan and security package restructuring at different stages of the corporate restructuring of the borrower group.

Acquisition financing

Acted as the lead counsel in structuring and documenting a cross-border US$210 million loan facility by a leading PRC commercial bank. This was to finance the acquisition of a Delaware company by a NASDAQ-listed company which involved complex Delaware legal issues.

Syndicated loan

Acted for a leading Taiwanese bank in a US$80 million syndicated loan facility to a PRC leasing corporation arranged by it, participated by 5 Taiwanese domestic banks. 

Cross-border bilateral secured loan

Acted for the Taiwanese subsidiary of an international bank in a US$210 million loan facility to a Peruvian subsidiary of a PRC state-owned enterprise, backed by a Taiwanese account pledge and Sinosure guarantee.

New development financing

Acted for the club lenders in a HK$1,940 million new development loan to a joint venture vehicle of two major local property developers. The structure of this deal is unique for its kind which involved both senior and junior loans, with complex intercreditors arrangement and security sharing.

Property syndicated loan

Acted for the syndicate banks in a HK$2,200 million loan for a Hong Kong listed property development company secured by a commercial complex.

Reverse mortgage programme

Acted as the external counsel of the Hong Kong Mortgage Corporation in its newly launched reverse mortgage programme. Assisted on all necessary loan application documents and standard form loan agreement for use by the participating banks.

Mortgage financing programme

Acted for the program sponsor in relation to the latest phase of its mortgage financing programme, which is a mortgage sale and securitisation programme involving Hong Kong property mortgages originated by a major local bank requiring complex documentation.

Newbuildings financing

Acted for a leading French bank in a US$36.4 million loan for two joint venture vehicles of two major Hong Kong based shipping groups concerning two newbuildings.

Innovative ship finance deal

Acted for the Hong Kong subsidiary bank of a major PRC bank in a US$46.8 million club loan for two bulk carriers for a PRC based borrower.  Due to the special RMB features of this deal, it was given the Lloyd’s List Award of the year.

PRC lender and borrower

Acted for the Shenzhen branch and the Hong Kong subsidiary of a major PRC bank in a US$45 million loan for one aframax oil tanker for a PRC state-owned Hong Kong subsidiary.
