Having served as the head of the international legal affairs department of one of the major Korean shipyards, Hong Bin has vast experience in dealing with drafting, reviewing and negotiating EPC and shipbuilding contracts, subcontracts for engineering and major equipment, and compliance issues in respect of offshore production facilities, rigs, commercial and military vessels.

Hong Bin is conscious of the risks of the various parties involved in offshore and commercial vessel projects, and has successfully negotiated terms for clients. His experience includes successful negotiation of terms and conditions for EPC projects for an FLNG and arctic LNG carriers, both the first of their kinds. His contentious experience includes construction of terms relating to design responsibility, termination for parties’ events of default, delay claims attributable to force majeure clause, scope of warranty obligation. His non-contentious experience includes successful negotiation of patent licensing and know-how transfer agreements and joint venture projects for technology transfer. He regularly advises on issues arising out of indemnities under EPC contracts and coverage of WELCAR insurance policy. He also served in the world’s biggest electronic goods engineering and manufacturing company. He negotiated the terms and conditions for development and supply of solid state drives for an enterprise use. He is familiar with issues arising out of licensing agreements.

He is also familiar with the issues relating to commodity trading, payment instruments, bill of lading, charterparty and cargo insurance. 

He conducted various arbitration matters under the rules of arbitration of LMAA, LCIA and GAFTA.

Advised on off-hire disputes in charterparties and breach of warranty of seaworthiness by a carrier in charterparties.

Advised on breach by failure to nominate a vessel and to open letters of credit in time, ascertaining applicable time bars, governing law and jurisdiction for letters of credit, bills of exchange and sales contract in relation to a series of sales contracts with a counterparty in the Middle East.

Drafted various amendments to the contract and supporting the client whenever shipments were to be made and credits provided. Advised on recovery of losses in LME market arising out of a series of cooperation contracts with its Chinese counterparties and liability for release of cargo without bill of lading.

Advised on breach of warranty of safe port and seaworthiness and insurance law-related issues such as warranty of legality and insured’s duty not to prejudice insurer’s subrogation right, arising out of an insurance policy and a sales contract for recovery of insurance money.

Reviewed and advised on risks associated with withdrawal of an investment in Africa, exploring various options and potential liabilities under Production Sharing Contract, Joint Operation Agreement and Farmout Agreement, and various other ancillary contracts, and drafting various correspondence for the governmental approval.

Drafted, advised, and negotiated the various bulk commodity sales contracts and ancillary guarantees, performance bonds, sales contracts for wafer/poly-silicon sale and purchase contracts, a long term off-take agreement, and various agency agreements.

Asian Power Plant

Drafted long-term and spot supply contracts for coal and advised on various issues arising therefrom.
