Giannis is a finance associate specialising in shipping finance, particularly in relation to advising leading banks on bilateral and syndicated transactions, including the financing and refinancing of second hand vessels and new buildings.

Giannis also assists owners in respect of sale and purchase of vessels, deposit and closing arrangements.

In addition, he also advises on Greek law matters, including the preparation of security over real and personal property, relating to shipping finance transactions and Greek law due diligence matters.

Giannis also has experience in Greek law commercial, civil and administrative matters.

Advising a German bank in its capacity as lender, agent, arranger and security agent in respect of a loan extended to a Marshall Islands incorporated company and secured by, inter alia, a mortgage over a Liberian flagged vessel and a deed of pledge over shares in the borrower granted by a German entity and governed by German law.

US fund

Acting for a US fund in relation to a facility extended to a Marshall Islands LLC company for the re-financing of three bulk-carrier vessels registered in the ownership of three Marshall Islands LLC collateral owners, shares in which were partly in the ownership of the borrower and partly in the ownership of a third party-fund. The borrower, apart from assisting the collateral owners to refinance their vessels, intended to acquire full ownership of the three collateral owners by buying out the portion of shares held by the fund. The money from this buyout would come from the drawdown of the relevant drawing in respect of each vessel. The deal included interesting issues regarding transfer of full ownership of the collateral owners to the borrower, especially regarding execution of corporate approvals as well as closing mechanics in order for the interests of the client to be protected.

Swiss bank

Acting for a Swiss bank in relation to a US$23 million facility for the financing of two Greek flagged dry bulk carriers in the ownership of Liberian registered owners and under the management of a major Greek shipping group. Interesting issues involved cross-collateralisation element and drafting of Greek mortgages.

Assisting other offices in respect of drafting of Greek mortgages in the Greek language as well as in respect of registration of same in the Greek Registry.
