Liz is a corporate partner who advises public and private companies on a wide range of corporate finance transactions across a variety of sectors. She has extensive experience of advising on M&A deals, IPOs, venture capital investments and London listed funds.

Liz advises sponsors, boards and investment managers of London listed closed end funds and is a member of the highly regarded Funds team at Stephenson Harwood. She has particular expertise in advising on split capital structures and reconstructions including section 110 rollover schemes and Companies Act schemes of arrangement.

She also has over 25 years general corporate and M&A experience across a wide range of sectors. She advised LOVEFiLM on all of its venture capital and corporate transactions and then its ultimate sale to Amazon.

Liz has acted for a number of venture capital investors investing in a variety of businesses. She has also advised a number of these clients, including management on exits by way of sale or IPO.

Advises on the launch and secondary issues, including C share issues and placing programmes of closed-end London listed funds and investment trust companies.

Advisory support

Advised all six of the investment trust companies managed by Jupiter Asset Management on the implementation of AIFMD, including drafting new investment management agreements and negotiating depositary agreements and new global custody and accounting services agreements.

M&A

Advises on M&A deals in the asset management and financial services sector including the sale of a fund management group and the sale of a household and car insurance broking business for a high street bank.

Advising on the sale of all of the remaining shares of LOVEFiLM International to Amazon, which was a significant minority shareholder.

Advising the shareholders of the Chaucer Management Consultancy group on their sale to Growth Capital Partners.

Takeover of Macdonald Hotels

Advising the independent board on the MBO of this large listed hotel group.

Woodford Investment Management

Advising an investee company on a recent substantial investment into it by Woodford Patient Capital Trust plc and CF Woodford Equity Income Fund.

Archimedes Pharma

Advising this pharmaceutical company in relation to restructuring and shareholder matters arising between its (then) two private equity investors and the subsequent buy-out of Warburg Pincus by Novo A/S.

Real Estate Opportunities Limited

Acted on the reconstruction by way of a court approved scheme of arrangement of this split capital London listed company which, at the time, was the owner of Battersea Power Station.

Jupiter Green Investment Trust plc

Advised this London listed company in respect of the innovative amendment to the rights attached to its ordinary shares to give them embedded annual subscription rights to subscribe for further ordinary shares.
