Advising a mid-market US company in the potential acquisition from a listed Singapore company of its China operations in the specialist chemicals sector.  The Seller is a listed company in Singapore which required a binding letter of intent and special contractual protections to be drafted by lawyers to safeguard the buyer’s interests, giving the buyer protection against contingent financial liabilities in the deal.
