A corporate partner with extensive international experience, Andrew is brought in by clients to work on some of their most complex deals; M&A, corporate transactions, joint ventures and commercial contracts form the core of Andrew's work. Sector experience includes consumer, energy, private equity, financial services and real estate investment. Andrew co-heads the firm's consumer and energy practices.

Andrew is a corporate partner who advises on corporate transactions, M&A, private equity and joint ventures. He also advises clients on complex commercial contracts and intellectual property arrangements.

Andrew has been recognised as a corporate partner in both Chambers and Legal 500 publications. His transactional experience includes international energy and infrastructure projects, particularly renewable energy deals such as wind farms and solar. Andrew is co-head of the firm's energy practice. He has significant experience in consumer brands, food and beverages, having worked with clients in the consumer space for over 20 years. Andrew is co-head of the firm's consumer practice.

Andrew has also worked extensively with private equity and with clients in the financial services sector, real estate investment and life sciences.

In addition to his corporate work, Andrew advises on the full spectrum of commercial work, either as part of a wider transaction or on a stand-alone basis. This includes high-value and complex supply, manufacturing and distribution structures, IP licensing and exploitation arrangements and outsourcing agreements.

Andrew is based in the London office but earlier in his career lived and worked in Asia and subsequently was a corporate partner with a top tier US based law firm. He frequently advises international clients and/or on international deals.

Advising STT Telecommunications, the Singaporean-based telecoms company, on its significant investment in Virtus, a UK data centre business and its co-investor arrangements with private equity firm Brockton Capital.

Advising Traderight, a London Metals Exchange introducer broker dealer on its formation including complex shareholder arrangements.

Advising numerous clients on group company re-organisations.

Advising Hotel Chocolat, the premium chocolate grower, manufacturer and retailer on various corporate matters.

Advising Kvaerner, the European shipbuilding and construction company, on the sale of the Govan shipyard in Scotland to BAe Systems.

Advising on transactions involving clients or third parties in an insolvency situation.

Advising financial services companies and banks such as Citibank and GE Capital on numerous acquisitions and disposals and joint ventures concerning: private banking, mortgage lending and consumer finance; the IPO of an insurance business ; advising on the sale by Citibank of its Diners Club business in Europe and advising on credit and store card arrangements.

Advising on The Telegraph and Express Newspapers' joint venture for printing and distribution services.

Advising on an IP-rich joint venture between Daewoo Shipbuilding & Marine Engineering of Korea and a UK-based technology company.

Advising on a proposed joint venture between a leading listed biotechnology/biopharmaceutical company and a US 'big pharmaceutical' company.

Andrew has worked with private equity clients such as Lion Capital, Advent International, Blackstone, Bain Capital, Vitruvian, Hg Capital and CVC since the industry first gained traction in Europe and more recently has focused on working with their portfolio companies.

Advising on Lion Capital and Blackstone's €1.85 billion acquisition of the Orangina Schweppes beverages business from Cadbury Schweppes.

Advising on Advent International's acquisition of Equiniti, the company registrar business from Lloyds TSB.

Advising Lion Capital on its proposed €800 million + acquisition of Findus Italy from Unilever.

Advising Advent International and Bain Capital on the acquisition of WorldPay, the card processing business from RBS.

Advising on the acquisition of Boxclever, the white and brown goods company by Cerberus and Fortress Capital.

Advising on the outsourcing of Gillette's razor blade packaging business in the UK.

Advising a client on a technology research and development agreement.

Advising on a pharmaceuticals related supply agreement and licensing arrangement with GSK.

A core part of Andrew's work involves advising clients on their M&A transactions, acting for both buyers and sellers and frequently involving a cross-border dimension. Transactions may be structured as share sales or business and asset deals. Andrew's experience encompasses auction sales and bilateral negotiations and spans almost every industry sector.

Advising on Findus Foods' acquisition of a Spanish business from Nestlé; the acquisition of a business in Benelux from McCain; the acquisition of its UK and Spanish business and brands; and the acquisition of a seafood business from Uniq PLC.

Advising Access Industries on its US$ multi-billion acquisition of Basell Polyolefins, the plastic business, from Shell and BASF.

Advising the private equity house Lion Capital on the US$615 million sale of crisp manufacturer Kettle Foods to Diamond Foods Inc of the US.

Advising on the sale of the Latin American banking operations of Banca Intesa, an Italian bank.

Advising on Premier Foods PLC on numerous acquisitions and disposals, including the sale of its Typhoo tea business to the Apeeajay Surrendra Group of India.

Advising GE Speciality Materials on its US$1 billion acquisition of Crompton Corporation of the US.
