Andrew is a corporate, commercial and regulatory lawyer who has been based in Hong Kong since 2009, having previously practised in London since 2005.

Andrew's main areas of expertise are in corporate and commercial transactions, particularly in the financial, insurance and natural resources sectors. Transactions he has worked on include cross-border mergers & acquisitions, joint ventures, private equity investments and shareholder agreements as well as a large number of regulatory issues in Hong Kong involving the Hong Kong Monetary Authority, the Securities and Futures Commission and the Insurance Authority.  In addition, Andrew frequently advises on a broad range of commercial contracts.  

Andrew regularly gives presentations to clients on legal issues to assist with their knowledge development and training.

Andrew is qualified in both England and Wales and Hong Kong.

Acting for a US insurance company on the acquisition of a Hong Kong insurance company.  This is a full transaction piece of M&A from legal due diligence to completion and includes Hong Kong regulatory advice.

Acting for an ASX listed Australian mining company in its AU$200million divestment of gold mining assets in the People's Republic of China (PRC) to a dual-listed (PRC and Hong Kong) mining company. This comprised drafting all the share sale and ancillary documents and supporting the client at negotiations in Xiamen, PRC.

Acting for a BVI incorporated (but Vietnam based) client in the sale of its Vietnamese subsidiary to a Vietnamese property development company. This was a complex disposal given the need to achieve (1) compliance with Vietnamese commercial regulations, and (2) payment outside of Vietnam.

Acting for an SGX listed commodity trader in establishing a Hong Kong incorporated joint venture shipping company with an Indian counterparty for supply of coal to an Indian power station.  

Establishing a joint venture shipping company for a Hong Kong client with a Japanese counterparty in order to create a vehicle for ship acquisitions and ownership.
